the S&P Small Cap 600 Index (the "Index"). iShares S&P Small Cap 600/BARRA
Growth Index Fund seeks investment results that correspond generally to
the price and yield performance, before fees and expenses, of the S&P
Small Cap 600/BARRA Growth Index. iShares S&P Small Cap 600/BARRA Value
Index Fund seeks investment results that correspond generally to the price
and yield performance, before fees and expenses, of the S&P Small Cap
600/BARRA Value Index. There is no assurance that the performance of the
S&P Small Cap 600 Index can be fully matched.
The S&P 600 Index invests in a
basket of small-cap equities. The index was introduced in 1994 in an effort to
represent a smaller segment of the market than the S&P MidCap 400 Index. The S&P
600 Index has been gaining popularity among investment managers.

different index funds, each designed to provide investment returns
corresponding to the price and yield performance, before fees and
expenses, of a particular index compiled by one of five index providers:
